Definitive approval of partial proportional demerger of Duomo Uni One Assicurazioni to Cattolica Assicurazioni

The public is informed that, today, the Shareholders’ Meeting of Duomo Uni One Assicurazioni and the Board of Directors of Cattolica Assicurazioni1 , having obtained the necessary official authorizations, definitively approved the proportional partial demerger operation as per the details already disclosed on 28 April 20102 . The demerger operation, which will be completed after the end of the necessary legal terms, is a further step in the Group’s optimization process with the aim of simplifying its structure, making it more efficient and competitive. The information document drawn up pursuant to Article 70 of CONSOB (Italian securities & exchange commission) Regulation 11971/1999 will be made available by the deadline established by current regulations.

2 The Related-Party Transaction Procedure, approved by Cattolica’s Board of Directors on 29 November 2010, has not been applied to the demerger as the Procedure envisages exemption for infragroup transactions (as is the one in question) on condition that, in the companies involved, no other significant interests of other related parties exist in relation to the specific transaction concerned. The remuneration of the directors of the companies involved in the demerger will not change following completion of the operation.
