The Board of Directors of Cattolica Assicurazioni, which met today under the chairmanship of Paolo Bedoni, has co-opted Enrico Mario Ambrosetti, Giovanni Sandrini and Paolo Garonna, as new directors.

Enrico Mario Ambrosetti and Giovanni Sandrini, both living in the province of Vicenza, have been co-opted, in connection and consistently with the existing partnership agreements with Banca Popolare di Vicenza s.c.p.a., to replace the directors Giovanni Zonin, Deputy Chairman, and Samuele Sorato, director, who resigned on April 26th, 2012 in view of the provisions pursuant to Article 36 of Italian Law 214/2011 and the related interpretative criteria jointly formulated by the Bank of Italy, CONSOB and ISVAP. Paolo Garonna has been co-opted to replace Giuseppe Camadini, a director that resigned on April 23, 2012, in view of the same provisions of Article 36 of the Italian Law 214/2011.

Enrico Mario Ambrosetti has also been appointed Deputy Chairman of the Company and member of the Executive Committee.

The Directors Enrico Mario Ambrosetti and Giovanni Sandrini, both non-executive, in accordance with the opinion of the Board of Directors, have defined themselves as non-independent pursuant to the Code of Conduct and the Financial Services Act (TUF). The Director Paolo Garonna, non-executive, in accordance with the opinion of the Board of Directors, has defined himself as independent pursuant to the Code of Conduct and the Financial Services Act (TUF).

Lawyer Enrico Mario Ambrosetti is a full professor of criminal law at the Law Faculty of the Università degli Studi di Padova. Admitted to the bar since 1989, he is entitled to practice before the Corte di Cassazione since 2001. He is also a member of the Board of Directors and Executive Committee of the Fondazione Studi Universitari in Vicenza.

Giovanni Sandrini has worked as a professional accountant since 1989 and operates as technical advisor for the Court of Vicenza. He holds several positions as Chairman and Auditor for various companies. He worked as a lecturer at the Università degli Studi di Verona.

Paolo Garonna is a full professor of political economy at the faculty of political studies at LUISS University in Rome. He is the former Secretary General of the Federazione ABI-ANIA and General Director of ANIA, as well as General Director of ISTAT and, later, Director of the Centre for Studies and Chief Economist of Confindustria.

In his intense International activity he played the role, among other things, of executive Deputy Secretary of the Economic Commission for Europe of the United Nations in Geneva. He has several scientific publications to his credit.
