Addendum to the press release on the approval of the merger by incorporation of San Miniato Previdenza S.p.A. into Cattolica Assicurazioni

With reference to the merger of San Miniato Previdenza into Cattolica Assicurazioni referred to in the press release of last November 11th, it is stated that the capital of the company to be merged is wholly owned by Cattolica Assicurazioni.
This transaction is of minor importance in accordance with CONSOB Regulation no. 17221 of March 12th, 2011. In relation to what is provided under Article 6.1 point d) of the said Regulation, it is stated that the procedure for the management of transactions with related parties approved by the Board of Directors of Cattolica has not been applied in that this procedure provides for, inter alia, the exclusion of intragroup transactions provided that (as in this case) there are no significant interests of other related parties in the companies involved in relation to the particular transaction.
