Verona, May 15th 2014

The Director Giovanni Sandrini has resigned today from the Board of Directors of Società Cattolica di Assicurazione. The resignation arrived in view of the provisions pursuant to Article 36 of Italian Law No. 214/2011, the related interpretative criteria jointly formulated by the Bank of Italy, CONSOB and ISVAP and as a consequence of supervening offices held.

Mr.Sandrini was, pursuant to the Code of Conduct, a non-independent and nonexecutive member of the Board of Directors.
